Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the Stratacle platform (the "Service") operated by Terrence Conrad, DBA Stratacle, located in Tracy, California ("we," "our," or "us"). By creating an account or using the Service, you agree to these Terms.

2. Description of Service

Stratacle is an accounting practice management platform that provides client management, document collection, deadline tracking, AI-powered email drafting, and cryptographic audit trail features. The Service is intended for use by accounting professionals and firms.

3. Account Registration

  • You must be at least 18 years old to use the Service.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Pricing

The Service is offered under the following plans:

  • Free — Up to 3 clients, basic features, no charge
  • Starter — 25 clients, 5 GB storage, 500 AI requests/mo — $29/month
  • Professional — 100 clients, 25 GB storage, 2,000 AI requests/mo — $79/month
  • Enterprise — Unlimited clients and storage, custom pricing available

Prices are in US dollars and subject to change with 30 days' notice.

5. Payment and Billing

Payments are processed securely by Stripe, Inc. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You are responsible for providing a valid payment method and keeping your billing information up to date.

6. Cancellation and Refund Policy

Cancellation

  • You may cancel your subscription at any time from your account settings (Settings → Billing → Cancel Subscription) or by emailing [email protected].
  • Cancellation takes effect at the end of your current billing period.
  • You will retain access to paid features until your billing period ends.
  • You may also downgrade to our Free plan at any time instead of cancelling.

Refunds

  • We do not provide refunds for partial billing periods.
  • If you believe you were charged in error, contact [email protected] within 14 days of the charge.
  • Approved refunds are returned to your original payment method within 5–10 business days.

Data After Cancellation

  • After cancellation, your data is retained for 30 days to allow for reactivation.
  • After 30 days, all data is permanently deleted.
  • You may request an export of your data before cancellation takes effect.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload malicious files, viruses, or harmful content
  • Attempt to gain unauthorized access to other users' data
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to store or transmit content that infringes on others' rights
  • Exceed reasonable usage limits or abuse API access
  • Resell or redistribute the Service without our written permission

8. Data Ownership

You retain all rights to the data you upload or create using the Service. We do not claim ownership of your client data, documents, or business information. We use your data solely to provide the Service as described in our Privacy Policy.

9. AI Features

The Service includes AI-powered features (email drafting, chat assistant) provided via third-party AI models. AI-generated content is provided as suggestions only. You are responsible for reviewing, editing, and approving all AI-generated content before use. We make no guarantees about the accuracy, completeness, or suitability of AI-generated content.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned downtime when possible.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATACLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Stratacle from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of San Joaquin County, California.
